Terms of Service

These Terms govern access to Aquip.io’s website, professional services and software platforms, including AquipCore.

Using Aquip.io Services

Effective date: 22 November 2025. These Terms are written for business users and work alongside any signed client agreement, order form, proposal or statement of work.

Acceptance and Authority

These Terms of Service (“Terms”) form a binding agreement between Aquip.io Pte Ltd (“Aquip”, “we”, “us” or “our”) and the person or organisation accessing or using the Website or Services (“you” or “Client”). By accessing or using them, you agree to these Terms.

If you use the Services for an organisation, you confirm that you have authority to bind that organisation. You must be at least 18 years old and legally capable of entering into this agreement. If you do not agree, do not use the Services.

Services and Contract Priority

Aquip provides a business website, professional and consulting services, custom applications, cloud and data solutions, AI and automation tools, business intelligence solutions, and AquipCore completions and handover software (together, the “Services”). Features may vary by engagement, subscription, environment and user role.

A signed client agreement, order form, proposal, statement of work, service level agreement or other written commercial agreement may apply to a specific Service (a “Client Agreement”). If these Terms conflict with a Client Agreement, the Client Agreement controls for that Service. These Terms do not expand any scope, service level or deliverable stated in a Client Agreement.

Accounts and Access

Some Services require an account. You must provide accurate and current information, keep credentials and authentication methods confidential, and promptly remove access for people who are no longer authorised. You are responsible for activity under your accounts unless caused by Aquip’s breach of these Terms.

Notify security@aquip.io promptly if you suspect unauthorised access or a security incident. Aquip may require password changes, multi-factor authentication or other reasonable safeguards.

Responsibilities and Acceptable Use

You must use the Services lawfully, follow documentation and reasonable instructions, and ensure that your users do the same. You must not:

  • access systems, accounts or data without authorisation;
  • introduce malware, disrupt availability, bypass security or conduct unauthorised vulnerability testing;
  • copy, resell, sublicense, scrape or reverse engineer the Services except where applicable law expressly permits;
  • upload unlawful, infringing, deceptive or harmful content;
  • use the Services to violate privacy, intellectual property, export control or other laws; or
  • use a Service as the sole basis for safety-critical control or decisions unless a signed Client Agreement expressly permits that use.

Client Content and Project Data

You retain ownership of information, documents, engineering records, asset data, images, instructions and other material that you or your users submit to the Services (“Client Content”). You grant Aquip and its approved service providers a limited right to host, process, transmit, back up and display Client Content only as needed to provide, secure, support and improve the contracted Services.

You are responsible for having the rights and permissions needed to provide Client Content, for its accuracy and legality, and for maintaining any backups required by your Client Agreement or internal controls. Aquip will not use Client Content to train a generally available AI model unless a Client Agreement or separate written consent expressly permits it.

Intellectual Property and Feedback

Aquip and its licensors retain all rights in the Website, AquipCore, software, templates, methods, documentation, designs, brands and other materials supplied as part of the Services, excluding Client Content and rights expressly transferred in a Client Agreement. Subject to these Terms and payment of applicable fees, Aquip grants you a limited, non-exclusive, non-transferable right to use the applicable Service for your internal business purposes during the authorised term.

Ownership and licence terms for custom deliverables are governed by the applicable Client Agreement. If you provide suggestions or feedback, Aquip may use them without restriction or payment, provided it does not identify you or disclose your confidential information.

Fees, Billing and Taxes

Prices, billing schedules, reimbursable expenses, payment terms, renewals and cancellation rights are stated in the applicable Client Agreement. The public Website does not create a quote or commitment to provide a Service at a particular price.

Unless a Client Agreement says otherwise, fees are exclusive of applicable taxes and duties. You are responsible for taxes associated with your purchase other than taxes based on Aquip’s net income. Aquip may suspend an affected paid Service for overdue undisputed amounts after providing reasonable notice, subject to the Client Agreement and applicable law.

Confidentiality, Privacy and Security

Each party must protect the other party’s non-public business, technical and commercial information using reasonable care and use it only for the relevant business relationship. Information is not confidential if it was already lawfully known, becomes public without breach, is received lawfully from another source, or is independently developed. Required legal disclosures may be made after notice where legally permitted.

Our handling of personal information is described in the Privacy Policy. Any data processing agreement, security schedule or confidentiality agreement signed for a Service also applies. No security measure eliminates all risk, and both parties must maintain safeguards appropriate to their responsibilities.

Third-Party Services and AI Features

The Services may interoperate with third-party hosting, identity, analytics, collaboration, data or software services. Those services may be subject to their own terms, availability and privacy practices. Aquip is not responsible for a third-party service outside its reasonable control, but this does not limit obligations expressly stated in a Client Agreement.

AI and automated features can produce incomplete, inaccurate or unexpected results. You must review outputs before relying on them, particularly for engineering, safety, financial, legal, compliance or operational decisions. You remain responsible for decisions made using those outputs.

Availability and Service Changes

Aquip may maintain, update or change the Website and Services to improve functionality, security or legal compliance. We will use reasonable efforts to avoid material disruption and to give notice of material changes when practicable. Specific support hours, availability targets, maintenance windows, backups and remedies apply only if stated in a Client Agreement.

Beta, preview and evaluation features may be changed or withdrawn and may have reduced support. Aquip may impose reasonable technical limits to protect security, performance and other users.

Warranties and Disclaimers

Each party warrants that it has authority to enter into these Terms. Aquip will provide contracted professional services with reasonable care and skill. Any additional warranty or remedy is stated in the applicable Client Agreement.

To the maximum extent permitted by law, the Website and any free, beta or evaluation Service are provided “as is” and “as available”. Aquip does not warrant that every Service will be uninterrupted, error-free or suitable for every purpose, or that data, analytics, AI outputs or third-party content will always be complete or accurate. Nothing in these Terms excludes a warranty or statutory right that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, exemplary or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or business opportunity. This exclusion does not apply where such loss cannot lawfully be excluded.

Aquip’s total aggregate liability arising from a Service under these Terms will not exceed the fees paid or payable for the affected Service during the 12 months before the event giving rise to the claim. For use of the free public Website where no fees were paid, the cap is SGD 100. A different cap in a Client Agreement controls. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or other liability that cannot be limited by law.

Indemnity, Suspension and Termination

You will defend and indemnify Aquip against third-party claims arising from Client Content, your unlawful or unauthorised use of the Services, or your material breach of these Terms, to the extent caused by you. Aquip must promptly notify you and allow you reasonable control of the defence, subject to Aquip’s right to participate.

Aquip may suspend access where reasonably necessary to address a security risk, unlawful use, material breach or overdue undisputed fees. Either party may terminate as allowed by the Client Agreement or if the other party materially breaches these Terms and does not cure the breach within a reasonable written cure period. On termination, access rights end. Payment, confidentiality, intellectual property, liability, dispute and other provisions intended to survive will continue. Client Content return or deletion is governed by the Client Agreement, Privacy Policy and applicable law.

Governing Law and General Terms

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles. The courts of Singapore have non-exclusive jurisdiction, unless a Client Agreement states another agreed forum. Before commencing formal proceedings, each party should give written notice and allow reasonable time for good-faith discussions, except where urgent relief is required.

You may not assign these Terms without Aquip’s written consent, except as part of a permitted corporate reorganisation or sale of substantially all relevant assets. Aquip may use affiliates and subcontractors while remaining responsible for its obligations. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. These Terms and applicable Client Agreements form the entire agreement about their subject matter.

Changes and Contact

We may update these Terms to reflect changes in our Services, business practices or legal obligations. The updated version will be posted on this page with a revised effective date. When practicable, we will provide reasonable notice of material changes to active Clients. Continued use after the effective date means you accept the updated Terms, unless a Client Agreement requires another process.
